CISCO PROVIDER MOBILITY DEVELOPER PROGRAM TERMS AND CONDITIONS
Thank you for using Cisco’s APIs, other developer services, and associated software (collectively, the "Mobility
Developer Tools"). By applying to and participating in the Cisco Provider Mobility Developers Program for the
Connected Application Catalog (the "Program"), you are agreeing to comply with and be bound by these terms and
conditions and any documentation applicable to any of the Mobility Developer Tools that is provided by Cisco at
https://developer.cisco.com/docs/mobility-services/
(the “Documentation”), and any applicable Cisco best practices, policies and
guidelines (collectively, these terms and conditions, the Documentation and any applicable practices, policies and
guidelines are the "Terms"). Cisco may modify the Terms, or any part thereof, from time to time in its sole
discretion.
You may only use the Mobility Developer Tools and accept the Terms if (i) you are of legal age to form a binding
contract with Cisco, and (ii) you are not barred from using or receiving the Mobility Developer Tools under any
applicable law, including export laws and regulations of the United States or any other country. If you are using
the Mobility Developer Tools on behalf of an entity, you represent and warrant that you have authority to bind
that entity to the Terms and by accepting the Terms, you are doing so on behalf of that entity. Please review
these Terms carefully before applying and participating in the Program. If you do not agree with all of the Terms
do not apply to or participate in the Program.
The terms "you," "your," and "yours" refer to you, the Program applicant. If you are using the Mobility Developer
Tools on behalf of an entity, the terms "you", "your", and "yours" in the Terms refer to that entity. The terms
“Cisco”, "we," "us," and "our" refer to Cisco Systems Inc. and all or any of its Affiliates (if and when
applicable). For the purposes of this Program the term “Affiliate” means any corporation or company that directly
or indirectly controls, or is controlled by, or is under common control with Cisco Systems Inc., where “control”
means to: (a) own over 50% of the relevant party; or (b) be able to direct the affairs of the relevant party
through voting rights or other lawful means (e.g., a contract that allows control).

The Program
-
All Program applicants must be approved by Cisco, at Cisco sole discretion, through the Cisco’s
Provider Mobility Business Unit’s onboarding and approval process. Application to the Program does not
guarantee acceptance. By applying to the Program, you consent to Cisco sending you communications about your
application and, if you are accepted, you consent to Cisco sending you communications about your
participation in the Program and contacting you to discuss your products and services (the “Cisco Provider
Mobility Developer Applications”). You agree to keep your registration information accurate and to inform us
promptly of any updates.

By applying and participating in the Program, you agree to comply with the then-current Terms. You should
look at the Terms regularly. Cisco will post notice of modifications to the Terms within the Documentation
on the Site, as defined below, or at
https://developer.cisco.com/docs/mobility-services/.
Changes will become effective
upon the earlier of (i) your continued use of Cisco’s products and service, including, but not limited to,
the Mobility Developer Tools, once you know about the changes, or (ii) 30 days after the changes are
published. Changes made to comply with applicable laws and regulations or to respond to what, in Cisco’s
sole discretion, are emergencies will be effective immediately. If you do not agree to the modified Terms,
you should discontinue your use of the Mobility Developer Tools. Your continued use of the Mobility
Developer Tools constitutes your acceptance of the modified Terms. Except as set forth in this subsection,
the Terms may only be modified or amended by a written document signed by an authorized representative of
Cisco.

You assign to Cisco all of your title and interest in any feedback or suggestions you provide us related to
the Mobility Developer Tools, Cisco hardware and software products, the Program, the Terms or the Connected
Application Catalog website (the "Site" or “Connected Application Catalog”).

For any avoidance of doubt, Cisco reserves the right to conduct any type of review of your Cisco Provider
Mobility Developer Applications at any time. Cisco’s acceptance and listing of your Cisco Provider Mobility
Developer Applications through the Program does not relieve you of any obligations set forth in these Terms,
including but not limited to, required adherence to industry standard requirements for development best
practices utilizing APIs and/or other developer services or software such as those included in the Mobility
Developer Tools. Cisco may adopt and change Cisco’s review standards and processes in our sole discretion
and reserve the right to make all decisions regarding placement or inclusion of Cisco Provider Mobility
Developer Applications through the Program.

Cisco Provider Mobility Developer Applications Requirements

All Cisco Provider Mobility Developer Applications are required to integrate with one or more APIs or
Mobility Developer Tools or other Cisco-approved form of integration to qualify for the Cisco. Cisco expects
one or more APIs or Mobility Developer Tools will be used for all deployments with Cisco products or
services, with such use of Cisco products or services being subject to the terms and conditions available
here.
Cisco does not permit unapproved methods of integration including, but not limited to, as screen
scraping. If You integrate using unapproved methods of integration such as screen scraping or You engage in
practices such as facial recognition, Cisco may suspend, terminate or otherwise limit Your participation in
the Program and/or access to the Mobility Developer Tools.

All Cisco Provider Mobility Developer Applications must provide a unique provider identifier (UPI) as
part of their integration and to provide and use a tracking unique identifier (UID).

You will build your Cisco Provider Mobility Developer Applications resiliently and robustly so that
malfunctions are clear and identifiable to You, and You will build your Cisco Provider Mobility Developer
Applications to a level of service that is in line with Cisco's own commitments to reliability.

You will develop the Cisco Provider Mobility Developer Applications according to Cisco’s published best
practices and within the limitations of the Mobility Developer Tools so as to be good Mobility Developer
Tools consumers, including respecting that Mobility Developer Tools budgets are a finite, shared resource.
You will not circumvent, or attempt to circumvent, such limitations.

You will complete evaluation and testing of your Cisco Provider Mobility Developer Applications as to
technology, functionality, performance, security, and user interface and its compliance to any Cisco Program
requirements.

Use of Mobility Developer Tools

The Mobility Developer Tools are designed to help you create and enhance the Cisco Provider Mobility
Developer Applications. YOU AGREE THAT CISCO MAY MONITOR YOUR USE OF THE MOBILITY DEVELOPER TOOLS TO ENSURE
QUALITY, IMPROVE CISCO PRODUCTS AND SERVICES, AND VERIFY YOUR COMPLIANCE WITH THE TERMS. ANY INFORMATION
COLLECTED BY THE MOBILITY DEVELOPER TOOLS IS THE SOLE PROPERTY OF CISCO. Monitoring may include, but not be
limited to, Cisco accessing and using your Cisco Provider Mobility Developer Applications to, for example,
identify security issues that could affect Cisco or its users. You will not interfere with this monitoring,
but if you do, Cisco may use any technical means to overcome such interference.

You agree to comply with all applicable laws, regulations, and third-party rights (including, without
limitation, laws regarding the import or export of data or software, privacy, and local laws). You will not
use the Mobility Developer Tools to encourage or promote illegal activity or violation of third party
rights.

You will only access (or attempt to access) an Mobility Developer Tools by the means described in the
Documentation for that Mobility Developer Tools. If Cisco assigns you developer credentials (e.g. client
IDs), you must use them with the applicable Mobility Developer Tools. You will not misrepresent or mask
either your identity or your Cisco Provider Mobility Developer Applications identity when using the Mobility
Developer Tools or developer accounts.

Some of the software required by or included in the Mobility Developer Tools may be offered under an open
source license, which is a separate written agreement. To the limited extent the open source software
license expressly supersedes the Terms, the open source license instead sets forth your agreement with Cisco
for the applicable open source software.

You will not use the Mobility Developer Tools to create Cisco Provider Mobility Developer Applications or
other products and services that compete with Cisco’s Provider Mobility Business Unit’s products and
services.

You acknowledge that Cisco or other Program participants may develop products or services that may
compete with the Cisco Provider Mobility Developer Applications or any of your other products or services.

Support
-
You will be responsible for the entire customer-facing support processes for the Cisco Provider
Mobility Developer Applications, even if the issue is believed or determined to be due to any Mobility
Developer Tools or another Cisco issue. You will not refer customers to Cisco support even if you believe
that the issue is a result of a failure of the Mobility Developer Tools.
This means that if a customer has an issue with your Cisco Provider Mobility Developer Applications or
another application or service, the customer should first (and in most cases exclusively) engage your
official support channels to raise the issue. We do not expect the customer to open a Cisco support case
at any point in the process, since Cisco is not expected to realistically help with the resolution in most
cases.

You will open your own Cisco support cases and provide relevant diagnostic information to the Cisco
support team when and if you have evidence that an incident is due to any Mobility Developer Tools or
another Cisco product or service.

When Cisco support receives such a support case, support will triage, diagnose and escalate according to
its established processes. Cisco support is not expected to troubleshoot your or customer code in any cases.

PII; Security; Ownership Rights; License

You will use commercially reasonable efforts to process and store information collected by your Cisco
Provider Mobility Developer Applications, including any personally identifiable information ("PII"), so that
the information is protected from unauthorized access or use, and You will promptly report to Your users any
unauthorized access or use of such information, in each case, in accordance with and to the extent required
by applicable law. You will comply with all applicable privacy laws and regulations including those applying
to PII. You will provide and adhere to a privacy policy for your Cisco Provider Mobility Developer
Applications that clearly and accurately describes to users of your Cisco Provider Mobility Developer
Applications what information you collect and how you use and share such information with Cisco and third
parties. You will not use the Mobility Developer Tools for any purpose or in any manner involving
transmitting protected health information including, but not limited to, under the Health Insurance
Portability and Accountability Act, as amended, (“HIPAA”), to Cisco unless you have received prior written
consent from Cisco.

You must provide security to your end users consistent with the Cisco’s standards set forth in Cisco’s
Trust Portal,
as amended from time to time.

As between you and Cisco, Cisco owns and reserves all rights, including intellectual property rights in
our proprietary, web-based hosted software platform, including any web-based hosted interface or other
web-based SaaS platform, Cisco’s Systems Manager and any Mobility Developer Tools provided by Cisco and all
intellectual property rights in Cisco’s products and services and you do not acquire ownership in any of the
aforementioned items or in the content accessed through the Mobility Developer Tools. Cisco does not acquire
ownership of intellectual property rights in your Cisco Provider Mobility Developer Applications.

Cisco does not acquire any ownership of any intellectual property rights in the content that you submit
to the Mobility Developer Tools through the Cisco Provider Mobility Developer Applications, except as
expressly provided in the Terms. For the sole purpose of enabling Cisco to provide, secure, and improve the
Mobility Developer Tools (and the related products and services) and only in accordance with the applicable
Cisco privacy policies, You grant Cisco a perpetual, irrevocable, worldwide, sublicensable, royalty-free,
and non-exclusive license to use, host, store, modify, communicate, and publish content that is submitted,
posted, or displayed to, submitted through or from or through use of the Mobility Developer Tools or through
the Cisco Provider Mobility Developer Applications. You will ensure that you have the necessary rights
(including the necessary rights from your customers and users) to grant Cisco the license before you submit
content to the Mobility Developer Tools through Cisco Provider Mobility Developer Applications. You will
ensure that you have permission from the customer(s) and user(s) of the applicable Cisco Provider Mobility
Developer Applications in order for you to receive content from the customer(s) and user(s) of the
applicable Cisco Provider Mobility Developer Applications. Cisco customers are data controllers, and You
will only be given content from Cisco according to the instructions of Cisco customers and users.

Mobility Developer Tools Prohibitions. When using the Mobility Developer Tools, you may not (or allow end
users and those acting on your behalf to):

Sublicense an API, in whole or in part, for use by a third party. You will not create an API, Cisco
Provider Mobility Developer Applications or any other product or service that functions substantially the
same as the Mobility Developer Tools from Cisco and offer them for use by third parties.

Perform an action with the intent of introducing to Cisco products and services any viruses, worms,
defects, Trojan horses, malware, or any items of a destructive nature.
-
Defame, abuse, harass, stalk, or threaten others or promote or facilitate disruptive messages.
-
Interfere with or disrupt the Mobility Developer Tools or the servers or networks providing the Mobility
Developer Tools.
-
Reverse engineer or attempt to extract the source code from any Mobility Developer Tools or any related
software, except to the extent that this restriction is expressly prohibited by applicable law.
-
Use the Mobility Developer Tools to process or store any data that is subject to export control law and
regulation including, but not limited to, the International Traffic in Arms Regulations maintained by the
U.S. Department of State.

Use the Mobility Developer Tools for any activities where the use or failure of the Mobility Developer
Tools could lead to death, personal injury, or environmental damage. Cisco may specify additional use
prohibitions on the Site or on
https://developer.cisco.com/docs/mobility-services/
or any successor site.

Remove, obscure, or alter any Cisco terms of service or any links to or notices of those terms.

Confidentiality

Developer credentials (such as passwords, keys, and client IDs) are only to be used by you and identify
your Cisco Provider Mobility Developer Applications. You will keep your credentials confidential and from
use by any third party. You will make reasonable efforts to prevent other Cisco Provider Mobility Developer
Applications from using your credentials. Developer credentials may not be embedded in open source projects
and must be encrypted in transit.

Cisco confidential information is any materials, communications or information disclosed by Cisco and/or
its Affiliates that (i) are marked “confidential”, “proprietary” or with a similar marking; or (ii) are
identified as confidential, proprietary, or the like at the time of oral disclosure or (iii) would
reasonably be considered confidential because of the type of materials, communications and information
disclosed or because of the circumstances under which the materials, communications and information are
disclosed (“Cisco Confidential Information”). The Mobility Developer Tools are Cisco’s Confidential
Information. “Affiliates" means any entity that directly or indirectly controls, is controlled by, or is
under common control with, Cisco, for so long as such control exists. In the case of companies and
corporations, "control" and "controlled" mean beneficial ownership of more than fifty percent (50%) of the
voting stock, shares, interest or equity in an entity. In the case of any other legal entity, "control" and
"controlled" mean the ability to directly or indirectly control the management and/or business of the legal
entity.

You will not disclose Cisco’s Confidential information to any third party without Cisco's prior written
consent. You will not use Cisco Confidential Information for any purpose other than the purpose for which
the Cisco Confidential Information was disclosed to you. For example, you will only use the Mobility
Developer Tools to create and enhance Cisco Provider Mobility Developer Applications. You must protect
Cisco’s Confidential Information to the same degree and standard of care that you protect your own
confidential information or, if you are entering into these Terms on behalf of an entity, to the same degree
and standard of care that that entity uses to protect its own confidential information, but, in either case,
under no circumstances less than a reasonable degree and standard. You must, at Cisco’s option, either
return or destroy Cisco’s Confidential Information upon termination of the Terms or of your participation in
the Program or at any other time that Cisco requests such return or destruction.

Cisco Confidential Information does not include information that you independently developed without the
use of or reference to any Cisco Confidential Information, that was rightfully given to you by a third party
without confidentiality obligations, or that becomes public through no fault of your own. You may disclose
Cisco Confidential Information when compelled to do so by law if you provide us reasonable prior notice,
unless a court orders that we do not receive notice.

Termination

Cisco has the right, in its sole discretion, at any time, for any reason, and without notice, liability
or other obligation to you, to (i) suspend or terminate these Terms,
(ii) suspend or terminate your participation in the Program and/or access to the Mobility Developer Tools by
you or your Cisco Provider Mobility Developer Applications, (iii) limit your participation in the program
and/or access to the Mobility Developer Tools, and/or (iv) discontinue the Mobility Developer Tools or any
portion or feature or your access thereto.

You may stop using any Mobility Developer Tools and thereby discontinue an Cisco Provider Mobility
Developer Applications, but you must provide Cisco and the applicable Cisco Provider Mobility Developer
Applications customers with notice of the date of such discontinuance at least ninety (90) days prior to the
discontinuance. Notice to Cisco may be given via email to mobility-services-developer@cisco.com. Cisco may
remove the description of the Cisco Provider Mobility Developer Applications that is being discontinued
along with your trademark, tradename and logo from the Cisco within a reasonable time after receipt of the
notice of discontinuance. Upon the date of the discontinuance of the Cisco Provider Mobility Developer
Applications, you will cease your use of the corresponding API.

If you want to terminate the Terms, you must provide Cisco and your Cisco Provider Mobility Developer
Applications customers with notice of the date of termination at least ninety (90) days prior to said date.
Notice to Cisco may be given via email to mobility-services-developer@cisco.com. Cisco may remove the
description of your Cisco Provider Mobility Developer Applications along with your trademarks, tradenames
and logos from the Cisco within a reasonable time after receipt of the notice of termination. Upon the date
of your termination of the Terms, you will cease your use of the Mobility Developer Tools.

Upon any termination of the Terms or your participation in the Program or discontinuation of your or your
Cisco Provider Mobility Developer Applications’ access to an API, you will immediately stop using the API(s)
and delete any cached or stored content collected by your Cisco Provider Mobility Developer Applications.
Prior to deletion, you must allow your customer to download the content. Cisco may independently communicate
with any account owner whose account(s) are associated with your Cisco Provider Mobility Developer
Applications and developer credentials to provide notice of the termination of your right to use an API.

When the Terms are terminated, those sections that by their nature are intended to continue after
termination of the Terms will survive indefinitely, including but not limited to: Sections 7
(Confidentiality).

Disclaimer of Warranties; Limitation of Liabilities

EXCEPT AS EXPRESSLY SET OUT IN THE TERMS, NEITHER CISCO NOR ITS AFFILIATES, LICENSORS, OR SUPPLIERS OR
DISTRIBUTORS OF ITS PRODUCTS AND SERVICES MAKE ANY SPECIFIC PROMISES ABOUT THE MOBILITY DEVELOPER TOOLS, THE
DOCUMENATION OR ANY OTHER CONFIDENTIAL INFORMATION. WE PROVIDE THE MOBILITY DEVELOPER TOOLS "AS IS". EXCEPT
AS PROVIDED FOR IN THE TERMS, TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES, GUARANTEES,
CONDITIONS, REPRESENTATIONS, AND UNDERTAKINGS, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTY OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON- INFRINGEMENT.

Cisco will not be responsible for: lost profits or lost revenues; lost, altered or incomplete data;
financial losses; or indirect, special, consequential, exemplary or punitive damages.

The total liability of Cisco and its Affiliates for any claim, including claims under the Terms and any
claim concerning warranties, is limited to the amount you paid Cisco to use the applicable Mobility
Developer Tools during the six months prior to the event giving rise to the liability.

Unless prohibited by applicable law, you will defend and indemnify Cisco, and its Affiliates, directors,
officers, employees, and users, against all liabilities, damages, losses, costs, fees (including legal
fees), and expenses relating to any allegation or third-party legal proceeding to the extent arising from
(i) your misuse or your customer's misuse of the Mobility Developer Tools; (ii) your violation or your
customer’s or end user's violation of the Terms; (iii) any content or data routed into or used with the
Mobility Developer Tools by you, those acting on your behalf, or your end users; (iv) your infringement or
misappropriation of an intellectual property right or violation of a privacy right.

Publicity/Marketing

You grant Cisco all necessary rights to produce and distribute incidental depictions, including
screenshots, video, or other content, from your Cisco Provider Mobility Developer Applications and to use
your company and trade names and your product names, trademarks and logos for the purpose of promoting,
marketing, or demonstrating the Mobility Developer Tools that you are using and the associated Cisco
products and services. Cisco does not make any guarantees that it will promote, market or demonstrate any
API, Cisco Provider Mobility Developer Applications or participant.

If Cisco selects you as a featured Program participant, you grant Cisco all necessary rights to use,
including, but not limited to, the rights to reproduce, prepare derivative works, distribute and publicly
display, on the Site, on other Cisco web sites and in marketing and informational materials, either in whole
or in part, information and materials that you have submitted to Cisco (“Submitted Materials”) and to list
your Cisco Provider Mobility Developer Applications and use your trade name, trademark and logo on the Cisco
as a featured Program participant.

You may use Cisco’s tradename, trademarks and logos for the purpose of identifying your participation in
the Program provided that Cisco has given its prior written consent to such use. Such use must be in
accordance with Cisco’s usage guidelines. Your participation in the Program does not create any sort of
agency relationship between you and Cisco. You will not make any statement regarding your use of any
Mobility Developer Tools which suggests partnership with sponsorship by, or endorsement by Cisco without
Cisco's prior written approval.

You will be honest in your marketing and advertisement of the capabilities of the Cisco Provider Mobility
Developer Applications and offer only functionality that is realistic to deliver in light of Cisco's best
practices and customer Mobility Developer Tools budgets. You will not promise capabilities outside of what
Cisco publishes about the Mobility Developer Tools.

Cisco may present you with opportunities to promote your Cisco Provider Mobility Developer Applications
in association with Cisco. If you agree to accept such marketing opportunities, you agree to work with Cisco
and to practice and communicate based on best marketing practices with a goal toa promote the relevant
Mobility Developer Tools and Cisco Provider Mobility Developer Applications, including, but not limited to,
by communicating about how the Cisco Provider Mobility Developer Applications successfully leverages Cisco
Mobility Developer Tools. Cisco may end the marketing and the marketing opportunity at any time at its sole
discretion. Cisco does not make any guarantees: that any marketing opportunities will be made available to
you; that participation in one marketing opportunity will lead to others, or; that Cisco’s marketing
engagement with any participant will be duplicated with any other participant. Cisco marketing opportunities
may include but are not limited to external/internal blogs, content assets, web page content, case studies,
sales enablement content, podcasts, webinars, social media.

General Provisions

You may not assign or transfer to a third party the Terms or any right or obligation under the Terms.

The Terms do not create any third-party beneficiary rights or any agency, partnership, or joint venture.

Nothing in the Terms will limit either party's ability to seek injunctive relief.

If you do not comply with the Terms, and Cisco does not take any action right away, this does not mean
that Cisco is waiving any rights that it may have (such as taking any action in the future).

If it turns out that a particular term is not enforceable, this will not affect any other terms.

The Terms are the entire agreement between you and Cisco relating to its subject and supersede any prior or
contemporaneous agreement on that subject. In the event of a conflict, these Terms and Conditions will
supersede the Documentation.

Except as otherwise stated in these Terms, the laws of California, excluding California's conflict of
laws rules, will apply to any disputes arising out of or related to the Terms or the Mobility Developer
Tools and all claims arising out of or relating to the Terms or the Mobility Developer Tools will be
litigated exclusively in the federal courts of Santa Clara County, California, USA, and you and Cisco
consent to personal jurisdiction in those courts.
If you are accepting these Terms on behalf of a U.S. Federal Government entity, any disputes arising out
of or related to the Terms or the Mobility Developer Tools will be governed by the laws of the United
States of America, excluding their conflicts of laws rules, and to the extent permitted by such laws of
the United States of America, the laws of California, excluding California's conflict of laws rules, will
apply in the absence of applicable federal law. If you are accepting these Terms on behalf of a United
States public sector agency or government institution located in the United States, the laws of the
primary jurisdiction in which you are located will apply to any disputes arising out of or related to the
Terms or the Mobility Developer Tools.

The Mobility Developer Tools, the Terms, including, but not limited to the Documentation, and Cisco’s
products and services, including, but not limited to the Program and the Site, are deemed to be “commercial
computer software” and “commercial computer software documentation” pursuant to FAR 12.212 and DFARS
227.7202. All U.S. Government end users acquire the Mobility Developer Tools, the Terms, including, but not
limited to the Documentation, and Cisco’s products and services, including, but not limited to the Program,
and the Site, with only those rights set forth in these terms and conditions. Any provisions that are
inconsistent with federal procurement regulations are not enforceable against the U.S. Government.
